    Terms of Service

    1. Overview

    Welcome to Proactivox (“Proactivox,” “we,” “our,” or “us”).
    These Terms of Service (“Terms”) govern your access to and use of the Proactivox platform, website www.proactivox.com, APIs, integrations, and related services (collectively, the “Services”).

    By accessing or using our Services, you agree to these Terms and our Privacy Policy.
    If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

    If you do not agree, you must not use the Services.

    2. Who We Are

    Proactivox is operated by a company registered in Denmark and subject to Danish and EU data protection laws (including the General Data Protection Regulation – GDPR).
    Our Services are available to users worldwide, but any legal relationship is established under Danish law as described in Section 17.

    3. Definitions

    • Account: The user profile you create to access the platform.

    • Customer Data: Any data, content, or information uploaded, transmitted, or connected through the Services.

    • Subscription Plan: A service tier offered under a paid or free plan.

    • User: Any individual or entity using the Services.

    • DPA: The Data Processing Addendum that governs our handling of Customer Data when we act as a data processor.

    4. Eligibility

    You may use the Services if you:

    • Are at least 18 years old (or the legal age of majority in your jurisdiction);

    • Have the authority to enter into this Agreement; and

    • Provide accurate registration information.

    5. Account Registration

    You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account.
    You must immediately notify us of any unauthorized use or suspected security breach.

    Proactivox reserves the right to suspend or terminate accounts found to be compromised, inactive, or in violation of these Terms.

    6. Subscription Plans and Payment

    6.1. Free and Paid Plans

    Proactivox offers both free and paid subscription tiers with different usage limits and features, as described on our website.

    6.2. Billing and Renewal

    Paid plans are billed in advance on a recurring monthly or annual basis. Unless canceled before the renewal date, subscriptions automatically renew.

    6.3. Payment Processing

    Payments are handled through trusted third-party payment processors. By subscribing, you authorize these providers to charge your chosen payment method.

    6.4. Taxes

    All fees exclude applicable taxes. You are responsible for all taxes associated with your subscription, except those based on our income.

    7. Acceptable Use

    You agree not to:

    • Use the Services for any unlawful, harmful, or abusive activity;

    • Upload or transmit malicious code or harmful data;

    • Interfere with the operation of the platform or other users’ accounts;

    • Reproduce, resell, or distribute the Services without authorization; or

    • Process or share data without having the necessary legal rights or consents.

    Violation of these rules may result in suspension or termination of your account.

    8. Customer Data and Privacy

    You retain full ownership of your Customer Data.
    You grant Proactivox a limited, non-exclusive license to process and store your data only as necessary to provide the Services.

    We handle all personal data in accordance with our Privacy Policy.
    When we process personal data on your behalf, the Data Processing Addendum (DPA) applies automatically.

    9. Service Availability

    We aim to provide reliable and continuous service but cannot guarantee uninterrupted access.
    Planned maintenance or unforeseen outages may occur.

    Proactivox is not liable for any loss, delay, or damage caused by service interruptions.

    10. Intellectual Property

    All intellectual property rights in the Services — including software, code, design, trademarks, and documentation — belong to Proactivox or its licensors.

    You may not copy, modify, reverse engineer, or redistribute any part of the Services except as expressly permitted by law or these Terms.

    Any feedback or suggestions you provide may be used by us freely and without obligation.

    11. Third-Party Integrations

    Our platform may integrate with third-party services (e.g., Salesforce).
    Your use of these integrations is governed by their respective terms of service.

    Proactivox is not responsible for the availability, data handling, or actions of third-party systems.

    12. Confidentiality

    Both you and Proactivox agree to keep confidential any non-public information exchanged during your use of the Services.
    This obligation does not apply to information that is public, independently developed, or required to be disclosed by law.

    13. Limitation of Liability

    To the maximum extent permitted by law:

    • Proactivox will not be liable for indirect, incidental, or consequential damages, including data loss, loss of profits, or business interruption.

    • Our total liability for any claim shall not exceed the total subscription fees paid to Proactivox in the twelve (12) months preceding the claim.

    Nothing in these Terms limits liability for gross negligence, intentional misconduct, or obligations under applicable law.

    14. Indemnification

    You agree to indemnify and hold harmless Proactivox, its affiliates, officers, and employees from any claims, losses, or damages resulting from:

    • Your breach of these Terms;

    • Your misuse of the Services; or

    • Any violation of third-party rights (including data protection laws).

    15. Termination

    You may cancel your subscription at any time through your account settings.
    Proactivox may suspend or terminate your access if you violate these Terms or use the Services in a way that risks harm to the platform or other users.

    Upon termination, your account may be deactivated and Customer Data deleted after a reasonable retention period unless otherwise required by law.

    16. Data Processing Addendum (DPA)

    If you use the Services to process personal data, the Proactivox Data Processing Addendum applies automatically.
    It forms part of these Terms and defines each party’s responsibilities under GDPR and other data protection laws.

    17. Global Reach and Governing Law

    Proactivox operates globally but is legally based in Denmark.
    These Terms apply to users worldwide.

    Any disputes arising out of or relating to these Terms shall be governed by the laws of Denmark, without regard to its conflict-of-law principles.
    The courts of Copenhagen, Denmark shall have exclusive jurisdiction over all disputes.

    If local laws grant mandatory consumer rights that differ from these Terms, those rights will remain unaffected.

    18. Changes to These Terms

    We may update these Terms periodically to reflect legal, technical, or business changes.
    The latest version will always be available at proactivox.com/terms-of-service.
    By continuing to use the Services after updates are posted, you agree to the revised Terms.
